Welcome to CasaVeda Agency! Before participating in our business consulting and coaching Services, please take the time to thoroughly read, understand, and agree to this Waiver and Release of Liability (the “Waiver”). If you have any questions, please contact us before signing this so we can be sure we're on the same page.

The purpose of this Waiver is to help protect both you and us. For your benefit, we want to be crystal clear that business coaching and strategic implementation come with risks. Although these risks (including financial, operational, or market-based outcomes) cannot always be predicted, we want to make you aware of some of the most common ones so that you can take proper precautions and make a more informed decision about whether our Services are right for you.

This Waiver also protects us from lawsuits because we cannot operate or help our clients if we have to fear being sued, whether the claims are real, perceived, or frivolous. We do our best to provide the best strategic guidance and professional support possible, but ultimately, your business and professional choices are yours alone. For this reason, by signing or otherwise agreeing to this Waiver, you will be agreeing not to sue us for any reason, regardless of fault. You will also be bound to all other terms of the Waiver.

If you are a minor in the Province of Ontario or in your place of residence, your legal guardian must also read and sign this Waiver on your behalf.  

1. Parties. We are 2596303 Ontario Inc. O/A CasaVeda Agency, a Corporation based in the Province of Ontario. In this Waiver, we will refer to ourselves as “CasaVeda Agency,” “us,” “we,”  and “our.” We’ll refer to you, the undersigned (electronically or by hand), or the person who has clicked “I Agree” (or something similar) to this Waiver, as “you” or “your.”

2. The Services. While engaging with CasaVeda Agency, you will receive our signature business consulting and coaching programs designed for Hyper-Speed results and FUN/Freedom-led growth. These may include, but are not limited to, the following (collectively, the “Services”):

1. Business Coaching encompasses discovery calls, strategy sessions where we channel a big vision and identify the "next best step" for your company, recruitment and onboarding of virtual team members, and spiritual ministry "soul work" to navigate the mental challenges of entrepreneurship.

2. The Services include all consulting and strategic support we provide for online streaming and participation via Telegram voice messaging, all of our pre-recorded audio or visual material, and services that take place outside CasaVeda Agency’s facilities, including at your place of business or at your home.

3. The Services also include our recommendations for professional specialists as well as the sale of products and third-party services, for which we may receive affiliate commissions.

4. Please note that this list may not be comprehensive, as strategic consulting and spiritual alignment are evolving fields in which practitioners continually learn new and improved techniques and modalities; therefore, this Waiver will apply fully even if you receive a Service not explicitly listed here.

3. Qualifications. Jenny has the following experience and certifications: Over 20 years in business and leadership, 10 years as General Manager and 1 year in Human Resources for a Fitness Company, Instructor Certifications in various disciplines of personal and professional development. Plus, 10 years as an entrepreneur scaling 4 different business models to over 6-figures/annaully.

4. Scope of Practice. The scope of our practice is as follows: 

1. Here is what we may be doing together, depending on the exact package you chose:

Discovery Calls to assess current business needs; Weekly Strategy Sessions focused on two key pillars: Big Vision Channeling to map out your company’s long-term trajectory, and "Next Best Step" Implementation to manage the immediate, actionable details of that growth; Between sessions, you may have direct access to us via Telegram voice messaging for real-time guidance and course correction; Team Strengths assessments; Recruitment, Interviewing, Hiring, Onboarding all using my proven system. You will be responsible to choosing legal contract packages separately to protect you if you do not already have them; Team meetings, training and development; Performance Reviews; In-person workshops, retreats or conferences to support your key players

1. Team Support & Recruitment. We provide high-level operational support, including the recruitment, hiring, onboarding, and training of virtual team members (such as Executive Assistants or Operations Managers). Depending on your business structure, these team members may:

   • Remain on the CasaVeda internal roster, with our agency handling their ongoing performance management and quality control; or

   • Be hired internally by your company, at which point, following our specialized training, management responsibility transfers to you.

2. Independent Contractor Relationships. To give you the best results, CasaVeda Agency utilizes a roster of highly skilled Independent Contractors. While we carefully vet and manage the performance of our internal team, these individuals are not employees of CasaVeda Agency. We are not liable for any specific errors, omissions, or the long-term "fit" of a contractor or specialist you choose to work with or hire internally. We provide the talent and the training, but the ultimate performance of these individuals and the success of their work are risks you assume as a business owner.

3. The Rolodex & Referrals. We provide access to a vetted "Rolodex" of specialists—including, but not limited to, legal, trademark, design, photography, and bookkeeping professionals. While we refer these individuals based on their proven track records, they are independent third parties. You are responsible for your own final due diligence before entering into agreements with them.

4. Spiritual Alignment & Ministerial Support. In addition to business strategy, the Services include Soul Work led by an Ordained Spiritual Minister. This element of our practice is designed to help you maintain internal alignment and navigate the unique mental and emotional hurdles of entrepreneurship. This is spiritual mentorship, not a substitute for regulated mental health or medical professional services

2. Here is what we will not be doing together: To ensure the highest level of clarity and success in our partnership, it is important to understand the specific boundaries of our Services and the expectations of your role as a client.

   1. Not Financial or Legal Advice: We do not provide professional financial, accounting, or legal consulting. While we may share personal experiences, run projected growth numbers, or refer you to our vetted rolodex of specialists, this information is not a substitute for professional advice from a licensed accountant, financial advisor, or legal counsel.

   2. Self-Led Empowerment: We will not "babysit" or chase you for implementation. Our methodology is designed to empower you to be resourceful, responsible, and self-led. While we are highly accessible for support through your chosen package, the responsibility for using that access and executing the strategy rests entirely with you.

5. Inherent Business Risks. You understand that receiving the Services and implementing new business strategies may pose inherent risks, some more serious than others. These risks can result in financial loss, operational disruption, or shifts in professional reputation that could change your quality of life and your future ability to earn an income.

   1. Risks from Strategic Changes, Team Integration, and Implementation. Whenever you implement a new business model, hire new team members, or change existing operations, there is a risk. Here, we list some relatively common and some uncommon but very serious inherent risks. I know we sound like a big pharma commercial right now, don’t we?

   2. Relatively Common Risks. While many businesses experience growth when implementing new strategies, others do not. Some relatively common risks and side effects include temporary cash flow fluctuations, team friction or turnover during restructuring, increased overhead, technical failures, and short-term operational "growing pains" as systems are rebuilt or new team members are onboarded.

   3. Market Volatility and External Factors. You may encounter previously unknown shifts in your specific market or industry. Specific impacts of these external factors can be unpredictable and range from a decrease in lead generation and sales to the total loss of a specific revenue stream. It is simply impossible to list every risk of market volatility. Therefore, you must remain aware of your own financial thresholds and consult your financial or legal professionals as necessary.

   4. Pre-existing Business and Legal Obligations. As with market shifts, we cannot list every possible pre-existing obligation and the associated risks. However, if you have existing debt, strict contractual exclusivity with other partners, or specific regulatory requirements in your industry, we suggest you be extra cautious before commencing any restructuring. Additionally, if you are currently under audit, in a legal dispute, or undergoing a partnership dissolution, you should consider talking to your legal counsel before changing your business operations.

   5. Interaction with Third-Party Platforms and Software. If you are utilizing specific third-party software, payment processors, or social media platforms for your business, you should be aware that their terms of service can change or integrations can fail based on the strategies you implement. If you are uncertain about how a new strategy or team placement will interact with your existing tech stack or processor, we suggest you discuss this with your technical team or the platform's support beforehand. 

   6. Physical Activity While our sessions are primarily focused on business strategy team acquisition, development and operations, as well as spiritual alignment, any choice to engage in light physical activity—such as walking meetings or sessions held outdoors—is voluntary. You are responsible for monitoring your own physical limits and safety during these activities.

   7. Strategic Business and Mindset Coaching. Our coaching addresses both the strategic and personal aspects of being an entrepreneur, including business growth, career development, and mindset. In the course of receiving these Services—including "big vision" channeling, "next best step" implementation, and mindset support—you may confront difficult internal shifts or professional challenges. There is an inherent risk that these changes could lead to significant stress, anxiety, or shifts in your personal and professional relationships as you navigate your company's evolution. While we provide high-level strategic support and team recruitment, you acknowledge that every business decision is a calculated risk. Outcomes are often impacted by unpredictable market shifts, implementation failures, or the performance of internal and external team members. There is a real risk that the changes you choose to implement could result in a short or long-term loss of income, increased debt, or damage to your professional reputation. Ultimately, all business and personal decisions remain your sole responsibility. By signing this Waiver, you accept full responsibility for all outcomes and agree that CasaVeda Agency is not responsible for any financial loss or any other negative consequences that may result from changes you choose to implement during or after receiving the Services.

   8. Group Coaching. The risks mentioned above may be enhanced when receiving coaching in a group setting. Every body, mind and soul is different. Solutions that benefit most people may have the opposite effect for you. 

6. Home Studio. Some CasaVeda Agency meetings may be held in a private home. Accessing a private home includes the potential of uneven paving and/or paths, steps without railings, an unenclosed swimming pool and/or hot tub, plants that may cause allergic reactions and insects associated with those plants, including bees, and the potential of encountering pets that may be unpredictable and may also cause allergic reactions. These are all risks you should be aware of, and you agree to release CasaVeda Agency from any liability associated with these risks.
   
   
   

7. Affirmation of Capacity and Suitability. By agreeing to receive the Services, you acknowledge that you are in a sound mental and financial position to implement high-level business strategies. If you are unsure, you affirm that you have sought professional advice from your own legal or financial counsel to determine that these Services are the right fit for your current business stage and do not pose a significantly increased risk to your personal or professional stability. If you are currently navigating significant personal distress, legal disputes, or extreme financial instability, you should consider the timing of these Services and consult with your respective professionals before engaging.

8. Alcohol and Prohibited Substances. You are strictly forbidden from participating in any of our in-person Services while under the influence of alcohol or any other substances that may alter your perception or ability to be present and focused.

9. Digital Protection & Cybersecurity. You acknowledge and accept the potential risks associated with our use of digital platforms, electronic communications, and data storage. While we take reasonable measures to protect your personal information and ensure cybersecurity, we cannot guarantee absolute security. You agree to release us from any liability for any indirect, incidental, consequential, or punitive damages or losses arising from unauthorized access, data breaches, cyber or malware attacks, or other digital security incidents. Please consult our Privacy Policy. 

10. Professional and Legal Disclaimer. You fully understand that CasaVeda Agency is not a licensed medical, legal, or financial professional body, and that the Services—including all consultations, "big vision" channeling, and strategic facilitation—do not constitute medical treatment or legal or financial advice. You acknowledge and agree that your implementation of any business strategy, recruitment decision, or mindset recommendation is completely voluntary, and you are solely responsible for the results of those choices. Regarding any specific legal disputes, tax obligations, trademark requirements, or clinical mental health conditions, you are now being advised that it is your responsibility to obtain competent advice from a licensed legal, financial, or mental health professional. You understand and agree that any service rendered by CasaVeda Agency is not designed to diagnose, fix, or prevent any financial instability, legal liability, or mental or physical condition of any kind. You hereby agree to this waiver and release us freely and voluntarily. You affirm you have had the opportunity to discuss this Agreement with your own independent legal counsel prior to agreeing to it. You acknowledge that CasaVeda Agency would not otherwise offer the Services if not for this waiver and release agreement.

11. Voluntary Assumption of Risk. You have read this Waiver and understand the risks of receiving the Services provided by CasaVeda Agency. By signing, electronically signing, or clicking “I Agree” (or something similar), you are confirming your voluntary engagement and assumption of the risks associated with the Services.

12. Release, Waiver and Indemnity. You hereby release, hold harmless, indemnify and waive any claims against 2596303 Ontario Inc O/A CasaVeda Agency, and its members, owners, directors, officers, contractors, employees, affiliates, volunteers, associates, landlords, agents, executors, administrators, successors, family members and assigns (the “Released Parties”) with respect to any and all liability and damages incurred during, or in any way associated with, your participation in the Services with CasaVeda Agency, however caused, including as a result of the Released Parties’ ordinary negligence, including but not limited to damage to or loss of personal property, personal injuries, death, illness, or any cause of action related to premises liability. You are releasing the Released Parties at your own risk, and you agree to forfeit any and all forms of legal recourse that may be available to you, including but not limited to any form of damages, as a result of your participation in the Services. You agree that this provision applies to you, your family, heirs, executors or anyone else who may be able to bring a legal action on your behalf in the future.

13. Continued Agreement. Your agreement to this Waiver will act as your continued agreement to all ensuing treatments, workshops, and Services, whether in person (inside or outside), online, or via videoconferencing tool.
    
    
    

14. Arbitration. Any controversy or claim arising out of or relating to this agreement shall be settled exclusively by binding arbitration conducted in the Province of Ontario or through such other arbitrator as mutually agreed upon by the parties. The arbitrator’s decision shall be final and enforceable in any court of competent jurisdiction. The losing party shall bear the costs of arbitration. The arbitration award shall be final and binding upon the parties, and the parties hereby waive any rights to appeal or challenge the award, to the extent permitted by applicable law. This arbitration clause shall survive the termination or expiration of this agreement.

15. General Legal Provisions. Choice of Laws and Venue. Courts of the Province of Ontario retain the sole power to order arbitration, confirm any resulting award, or grant urgent relief related to the arbitration process. Severability. If any terms or provisions of this Waiver are invalid or unenforceable, the other provisions in the Waiver will remain in full force and effect. Entire Agreement. This Waiver constitutes the entire agreement between the parties and replaces any prior agreements. Online Agreement. The parties agree that this Waiver may be signed electronically or agreed to by clicking “I Agree” (or a similar option), with the effect being the same as signing by hand.
